Terms of Service

1. Agreement to Terms

VibeStock is a product of Ancon Hill Services LLC ("Company", "we", "us", or "our"). By installing, accessing, or using VibeStock ("the Service"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity.

2. Service Description

VibeStock is a software-as-a-service application designed to validate supplier catalog spreadsheets (CSV and XLSX formats) and synchronize catalog data and inventory levels to your Shopify store. VibeStock is an independent application and is not manufactured, endorsed, or warranted by Shopify Inc.

3. Merchant Responsibilities

• Data Accuracy: You are solely responsible for the content, legality, pricing, intellectual property rights, and accuracy of all catalog files and spreadsheets uploaded to the Service.
• Review Gate: You acknowledge that VibeStock provides an import dry-run and staging review gate. Approving a catalog import constitutes your explicit authorization to synchronize those records to your live Shopify store.
• Account Security: You are responsible for maintaining the security of your Shopify merchant credentials.

4. Commercial Plans & Billing

• Billing Authority: All recurring subscription fees are processed and governed exclusively through Shopify App Pricing and Shopify Billing. VibeStock does not collect credit cards or maintain independent billing ledgers.
• Managed Active SKU Limits: Each commercial plan (Starter: 2,500; Growth: 10,000; Scale: 50,000) specifies a Managed Active SKU quota. Catalog imports exceeding your active plan quota will be quarantined in staging until an upgrade is completed. Exceeding a quota will never result in the deletion of live store products.
• Free Trial: The Growth plan includes a 14-day free trial. Starter and Scale plans do not include a trial period unless explicitly stated during checkout. If you do not cancel prior to the conclusion of Day 14 via Shopify Admin, recurring charges will commence as scheduled by Shopify.
• Cancellations: Subscriptions may be cancelled at any time by uninstalling the application from your Shopify Admin.

5. Availability & Service Boundaries

• Overselling Disclaimer: VibeStock helps reduce inventory desynchronization risk by validating and synchronizing supplier feeds. However, inventory levels depend on supplier feed accuracy, upload frequency, and external platform processing. VibeStock does not guarantee the prevention or elimination of overselling, stockouts, or fulfillment discrepancies.
• API Availability: The Service relies on the availability of the Shopify Admin API and Shopify Partner API. VibeStock is not liable for service interruptions caused by third-party platform downtime or network partitions.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall Ancon Hill Services LLC, its officers, employees, or platform partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, sales, or business reputation, arising out of or in connection with the use of the Service. Total liability shall not exceed the fees paid by you to VibeStock in the three (3) months preceding the incident.
